Hajde Zemer Ambassador Program — Terms & Conditions

By applying to or participating in the Hajde Zemer Ambassador Program ("Program"), you ("Ambassador," "you") agree to these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Hajde Zemer LLC ("Company," "we," "us").

1. Eligibility

  • You must be at least eighteen (18) years of age to participate.
  • You must have an active public social media account on at least one platform (Instagram, TikTok, YouTube, or similar).
  • Participation is subject to approval by Hajde Zemer at our sole discretion. We reserve the right to reject or revoke any application without providing a reason.

2. Program Benefits

Upon acceptance, you may receive:

  • A unique discount/referral code for your audience
  • Commission on qualifying sales made through your code or link
  • Complimentary product ("gifted items") at our discretion
  • Early access to new releases and exclusive promotions

All benefits are provided at our sole discretion and may be modified or discontinued at any time.

3. Commission & Payouts

  • Commission Rate: As communicated upon acceptance (typically 10% of net sale value).
  • Net Sale Value: The amount actually paid by the customer after discounts, excluding shipping, taxes, and fees.
  • Payout Schedule: Commissions are paid monthly, subject to a minimum threshold of $25 USD.
  • Returns & Chargebacks: Commissions earned on orders that are later returned, refunded, charged back, or deemed fraudulent will be reversed and deducted from your balance.
  • Currency: All commissions are calculated and paid in USD.

3.1 Commission Withholding & Forfeiture

We reserve the right to withhold, delay, or forfeit unpaid commissions if:

  • We reasonably suspect fraudulent activity, self-referrals, or manipulation of the referral system
  • You are found to be in violation of any provision of these Terms
  • Orders attributed to your code or link are generated through misleading, deceptive, or unauthorized means
  • You engage in activities that damage or could damage the reputation of Hajde Zemer

In the event of termination for cause (Section 8), all unpaid commissions are forfeited.

4. Content Creation & Intellectual Property

4.1 Content License Grant

By participating in the Program, you grant Hajde Zemer LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit any and all content you create in connection with the Program ("Ambassador Content"), including but not limited to:

  • Photographs and images (including your likeness)
  • Videos, reels, stories, and live streams
  • Written captions, reviews, and testimonials
  • Audio recordings and voiceovers

4.2 Usage Rights

This license permits us to use Ambassador Content for any lawful business purpose, including without limitation:

  • Organic social media posts on our accounts
  • Paid advertising campaigns (Meta, TikTok, Google, and any other platform)
  • Website content, product pages, and landing pages
  • Print materials, packaging, point-of-sale displays, and retail environments
  • Email marketing, newsletters, and promotional communications
  • Press, PR, and editorial use
  • Any future media formats or channels

4.3 Attribution

We are not obligated to provide attribution or credit when using Ambassador Content, though we may do so at our discretion.

4.4 No Approval Required

Once content is submitted or published in connection with the Program, we may use it without further notice or approval from you. You waive any right of inspection or approval of the finished product, advertising copy, or other matter that may be used in connection therewith.

4.5 Likeness Release

You grant us the right to use your name, image, likeness, voice, biography, and social media handle in connection with the Program and any marketing materials, without additional compensation beyond what is provided under these Terms.

4.6 Moral Rights Waiver

To the fullest extent permitted by applicable law, you waive any moral rights you may have in Ambassador Content, including the right to be identified as the author and the right to object to derogatory treatment of the work.

5. Ambassador Obligations

As a Hajde Zemer Ambassador, you agree to:

  • Represent the brand positively in all public communications
  • Disclose your relationship with Hajde Zemer in accordance with FTC guidelines and applicable advertising regulations (e.g., #ad, #sponsored, or platform partnership tools)
  • Create authentic content that reflects your genuine experience with our products
  • Respond to communications from the Hajde Zemer team within a reasonable timeframe
  • Follow content guidelines provided by us, including any brand guidelines, product messaging, or campaign briefs

6. Prohibited Activities

You may NOT:

  • Share your discount code or affiliate link on public coupon sites, deal aggregators, browser extensions, or discount forums (e.g., Reddit deals, Honey, RetailMeNot)
  • Bid on Hajde Zemer brand terms, trademarks, or product names in any paid advertising (e.g., Google Ads, Bing Ads)
  • Make false, misleading, or unsubstantiated claims about our products
  • Disparage Hajde Zemer, its products, employees, founders, or business practices
  • Engage in hate speech, discrimination, or promotion of illegal activities
  • Use your Ambassador status to solicit personal gifts, payments, or benefits from customers or other ambassadors
  • Create content that associates Hajde Zemer with political campaigns, controversial figures, or adult content without prior written approval
  • Resell gifted products or use your discount code for bulk purchasing intended for resale
  • Use bots, fake accounts, purchased followers, or any artificial means to inflate engagement or sales metrics
  • Represent yourself as an employee, partner, or owner of Hajde Zemer

Violation of any prohibited activity will result in immediate termination and forfeiture of all unpaid commissions.

7. Gifted Products

  • Gifted products are provided for content creation purposes and are not a form of compensation for services.
  • You are responsible for any applicable taxes on gifted items.
  • Gifted products may not be resold, exchanged for cash, or transferred to third parties.
  • We may request return of gifted products upon termination of the Program.

8. Termination

8.1 Termination by You

You may leave the Program at any time by notifying us in writing (email to info@hajdezemer.com). Commissions earned prior to termination will be paid according to the regular payout schedule, provided no violations occurred.

8.2 Termination by Us

We may terminate your participation at any time, for any reason, with or without notice. Reasons for termination include but are not limited to:

  • Violation of these Terms
  • Inactivity (no content posted for 90+ consecutive days)
  • Conduct that damages or could damage the Hajde Zemer brand
  • Fraudulent activity or manipulation of the referral system
  • At our sole discretion for business reasons

8.3 Effect of Termination

Upon termination:

  • Your discount code and affiliate link will be deactivated
  • Any outstanding commissions may be forfeited if terminated for cause
  • The content license granted in Section 4 survives termination (we may continue to use previously created Ambassador Content)
  • You must remove any Hajde Zemer branding or materials from your profiles within 14 days
  • You must cease representing yourself as a Hajde Zemer Ambassador

9. Confidentiality

You agree not to disclose non-public information about Hajde Zemer, including but not limited to: upcoming product launches, business strategies, sales data, internal communications, commission structures offered to other ambassadors, or any information marked as confidential.

10. Indemnification

You agree to indemnify and hold harmless Hajde Zemer LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to your participation in the Program, your Ambassador Content, or your breach of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, Hajde Zemer's total liability to you under these Terms shall not exceed the total commissions actually paid to you in the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.

12. Independent Contractor

You are an independent contractor and not an employee, partner, or agent of Hajde Zemer LLC. Nothing in these Terms creates an employment relationship, partnership, or joint venture.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify active ambassadors of material changes via email or through the ambassador portal. Continued participation after notification constitutes acceptance of the modified Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

15. Entire Agreement

These Terms, together with any program-specific communications or guidelines we provide, constitute the entire agreement between you and Hajde Zemer LLC regarding the Ambassador Program and supersede all prior agreements or understandings.
